Terms of Service

Last updated: October 2026. Standard studio collaboration terms, milestone commitments, and 100% intellectual property transfer terms.

1. Acceptance of Terms

By accessing the Bytewyte website (bytewyte.com) or executing a Project Proposal, Statement of Work (SOW), or Retainer Agreement with Bytewyte ("Studio," "we," or "us"), you ("Client" or "you") agree to be legally bound by these Terms of Service. If you are entering into this agreement on behalf of a company or legal entity, you represent that you possess the authority to bind such entity.

2. Services & Project Scope

Bytewyte provides bespoke digital product services including UI/UX design, interactive prototyping, web engineering, mobile application development, e-commerce systems, and strategic technology consulting. Detailed deliverable criteria, milestones, timelines, and acceptance benchmarks are defined in your specific Statement of Work (SOW).

3. 100% Intellectual Property (IP) Ownership

We believe in zero vendor lock-in. Upon final completion of project deliverables and full payment settlement of all invoices associated with the project, all intellectual property rights, custom Figma design files, source code repositories, tokens, database schemas, and digital assets created specifically for you are transferred 100% to your organization. Bytewyte retains no residual ownership claims over your proprietary custom code or data.

4. Client Obligations & Cooperation

Timely delivery of feedback, required content assets, third-party API credentials, and review approvals are essential for maintaining agreed sprint schedules. Delays exceeding 14 calendar days in providing mandatory assets or feedback may result in sprint rescheduling and timeline adjustments.

5. Milestone Billing & Payment Terms

Fixed-price projects are invoiced based on agreed milestone achievements (e.g., discovery & design approval, staging feature freeze, production deployment). Monthly retainers are billed at the commencement of each billing cycle. Invoices are payable within 14 calendar days of issuance unless otherwise stipulated in writing.

6. Post-Launch Warranty & Maintenance

All custom web and mobile projects include a complimentary 30-day post-launch warranty period covering bug fixes and technical troubleshooting related directly to the agreed scope. Extended maintenance, security updates, and infrastructure scaling are supported under separate monthly maintenance SLAs.

7. Confidentiality & Non-Disclosure

Both parties agree to protect and treat as confidential all proprietary business information, technical architecture, product specifications, and trade secrets disclosed during discussions or project execution. This obligation survives termination of any engagement.

8. Governing Law & Jurisdiction

These Terms and any project contracts entered into with Bytewyte are governed by and construed in accordance with the laws of the Republic of India. Any legal disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in Jaipur, Rajasthan, India.
